1. Acceptance of Terms
These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding contract between Arc Guard Inc. (“Company,” “we,” “us,” or “our”), a company incorporated under the laws of Louisiana, and you, the person or entity accessing ArcGuardInc.com (the “Website”) or purchasing our products (“Customer,” “you,” or “your”).
By: (a) accessing or using our Website; (b) creating an account; (c) submitting a quote request or purchase order; (d) downloading any materials from our Website; or (e) accepting delivery of any products — you agree to be bound by these Terms in their entirety, together with our Privacy Policy (incorporated herein by reference).
If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” shall refer to that entity.
We reserve the right to modify these Terms at any time. Changes take effect upon posting to the Website. Your continued use of the Website or submission of orders after changes are posted constitutes acceptance of the revised Terms.

3. Products and Services
3.1 Product Scope
Arc Guard Inc. supplies arc flash personal protective equipment and related safety products, including but not limited to:
- Arc flash protection suits and coveralls (Category 1 through Category 4, per NFPA 70E)
- Arc-rated face shields, hoods, and hard hat attachments
- Flame-resistant (FR) shirts, pants, jackets, and layering systems
- Arc-rated gloves, footwear covers, and ancillary PPE
- Arc flash kits and bundled compliance packages
- Compliance documentation, test certifications, and SDS sheets (supplied with orders)
3.2 Intended Use and Customer Qualification
Our products are designed and sold exclusively for professional use by qualified electricians, safety officers, EHS managers, procurement departments, and other trained industrial professionals at oil and gas facilities, refineries, petrochemical plants, power utilities, and major commercial and industrial construction sites.
Our products are NOT intended for general consumer use or for untrained individuals. By placing an order, you represent and warrant that: (a) you are a business customer purchasing for commercial or professional use; (b) the end-users of our products are appropriately trained and qualified; and (c) you will ensure products are used only for their rated and intended purpose in accordance with applicable standards including NFPA 70E, OSHA 29 CFR 1910.137, and other applicable regulations.
3.3 Product Descriptions and Specifications
We make every reasonable effort to ensure product descriptions, specifications, arc ratings (cal/cm2), ATPV values, imagery, and technical data on our Website are accurate and up to date. However, we do not warrant that product descriptions are entirely free of error. If a product delivered differs materially from its Website description, your sole remedy is to return the product in accordance with Section 10 (Returns and Refunds).
Product specifications — including cal/cm2 arc ratings, ATPV/EBT values, and compliance certifications — reflect manufacturer test data at the time of listing. You remain responsible for verifying that products meet the specific arc flash hazard analysis requirements for your worksite prior to use.
3.4 Product Availability
All products are offered subject to availability. We reserve the right to discontinue any product, limit quantities, or decline orders at our sole discretion. If a product is unavailable after order placement, we will notify you promptly and offer an equivalent substitute, a revised delivery timeline, or a full refund of any amounts paid.
4. Orders and Formation of Contract
4.1 Quote Requests
Submitting a quote request through our Website, email, or by telephone does not constitute a binding order. A quote is an invitation to treat only. All quotes are valid for 30 days from the date of issue unless otherwise stated in writing, and are subject to product availability and pricing at the time of order confirmation.
4.2 Purchase Orders
A binding contract is formed only when: (a) you submit a written purchase order (by email, our Website form, or other written means); and (b) Arc Guard Inc. issues a written Order Confirmation accepting that purchase order. We reserve the right to reject any order for any reason, including without limitation: pricing errors, availability constraints, export control restrictions, or inability to verify business credentials.
4.3 Order of Precedence
In the event of any conflict between these Terms and any purchase order, statement of work, or other document submitted by you, these Terms shall prevail unless a separate written agreement signed by an authorised officer of Arc Guard Inc. expressly states otherwise.
4.4 Minimum Order Requirements
We reserve the right to impose minimum order quantities or values for specific products or customer categories. Any applicable minimums will be communicated at the time of quoting. Custom or made-to-order products may be subject to non-cancellable minimum orders as specified in the relevant quote.
5. Pricing and Payment
5.1 Pricing
All prices displayed on our Website are in US Dollars (USD) unless otherwise stated, and are exclusive of applicable taxes, shipping, and duties unless expressly stated as inclusive. Prices are subject to change without notice. The price applicable to your order is the price confirmed in your Order Confirmation.
5.2 Taxes and Duties
You are responsible for all applicable federal, state, local, and international taxes, import duties, customs fees, and similar charges arising from your purchase. Where Arc Guard Inc. is legally required to collect and remit sales tax, such tax will be itemised on your invoice. For international orders, all customs duties and import taxes are your responsibility as the importer of record.

5.5 Late Payment
Invoices not paid within the agreed payment period shall accrue interest at the rate of 1.5% per month (18% per annum), or the maximum rate permitted by applicable law, whichever is lower, calculated from the due date until the date of full payment. We reserve the right to suspend all pending and future orders for accounts with overdue balances. You shall reimburse us for all reasonable costs of collection, including attorney’s fees.
5.6 Credit Accounts
Credit account applications are subject to our approval, credit checks, and trade references. We reserve the right to modify credit limits, suspend credit terms, or require advance payment at any time at our sole discretion, with or without cause. Credit terms are non-transferable.
6. Shipping and Delivery
6.1 Shipping Terms
Unless otherwise agreed in writing, all orders ship FOB (Freight on Board) Origin from our warehouse. Title to products and risk of loss or damage pass to you upon handover to the carrier. We will select a carrier appropriate to the order size and destination unless you specify otherwise in your purchase order.

Delivery timelines are estimates only and are not guaranteed. Arc Guard Inc. shall not be liable for delays caused by carrier issues, customs clearance, Acts of God, labour disputes, material shortages, or other circumstances beyond our reasonable control (see Section 18 — Force Majeure).
6.3 Shipping Costs
Shipping and freight costs are calculated at checkout or quoted separately for large or custom orders. We reserve the right to pass through actual freight charges, including fuel surcharges, to the customer. Free shipping thresholds, if offered, will be stated clearly on the Website and are subject to change.
6.4 Inspection on Delivery
You must inspect all deliveries promptly upon receipt. Any visible damage, shortage, or discrepancy must be noted on the carrier’s delivery receipt and reported to us in writing at info@arcguardinc.com within 3 business days of delivery. Claims made after this period may be denied. Concealed damage must be reported within 7 business days of delivery.
6.5 Failed Deliveries
If a delivery fails due to an incorrect address provided by you, refusal to accept delivery, or failure to be present to receive a signature-required shipment, additional redelivery costs will be charged to your account. We reserve the right to charge storage fees for products held awaiting re-dispatch at your request.
7. Product Standards, Compliance, and Safety
7.1 Standards and Certifications
Arc Guard Inc. products are manufactured and tested to applicable industry standards, which may include:
- NFPA 70E: Standard for Electrical Safety in the Workplace
- ASTM F1506: Standard Performance Specification for Flame Resistant and Arc Rated Textile Materials
- ASTM F2178: Standard Test Method for Determining the Arc Rating and Standard Specification for Eye or Face Protective Products
- ASTM F2621: Standard Practice for Determining Response of Arc-Rated PPE to Flash Fires
- OSHA 29 CFR 1910.137 / 1926.97: Electrical protective equipment standards
- IEC 61482-2: International arc flash protective clothing standard
- CSA Z462: Canadian electrical safety standard (where applicable)
Applicable certifications and test reports are available upon written request. Certification documentation is accurate as of the date of testing; we do not guarantee products will meet future revisions of standards.
7.2 Customer’s Responsibility for Proper Selection
| CRITICAL SAFETY NOTICE: Arc flash protection is life-safety equipment. The selection of appropriate arc flash PPE must be based on a site-specific arc flash hazard analysis conducted by a qualified electrical engineer, in accordance with NFPA 70E and applicable OSHA regulations. Arc Guard Inc. provides product specifications, arc ratings, and technical support to assist in selection — but the final selection decision rests solely with the Customer and their qualified personnel. Using PPE with an insufficient arc rating for the actual hazard level may result in serious injury or death. |
By purchasing our products, you represent and warrant that: (a) a qualified person has performed or reviewed an arc flash hazard analysis for the relevant work location; (b) the products selected have an arc rating equal to or greater than the incident energy or hazard level identified; and (c) end-users are properly trained on the use, inspection, care, and limitations of the PPE.
7.3 Product Inspection and Maintenance
Arc flash PPE must be inspected before each use in accordance with manufacturer guidelines and NFPA 70E requirements. Products that show signs of damage, contamination, degradation, or that have been exposed to an arc flash event must be removed from service immediately and not reused. Arc Guard Inc. disclaims all liability for incidents arising from use of damaged, contaminated, or improperly maintained PPE.
7.4 Alterations and Modifications
Any alteration, modification, repair, or customisation of our products (other than those expressly approved by Arc Guard Inc. in writing) will void all warranties and certifications associated with those products. Arc Guard Inc. accepts no liability for products that have been altered without our written consent.
8. Warranties
8.1 Limited Product Warranty
Arc Guard Inc. warrants to the original purchasing Customer that our products, when used and maintained in accordance with manufacturer guidelines and applicable standards, will be free from defects in materials and workmanship for a period of twelve (12) months from the date of delivery (“Warranty Period”).
This limited warranty does not cover:
- Normal wear and tear from regular professional use
- Damage caused by misuse, abuse, negligence, accident, or improper storage
- Products that have been altered, modified, or repaired without our written consent
- Products used outside their rated arc flash category or beyond their ATPV rating
- Contamination by chemicals, oils, grease, or other substances that degrade FR properties
- Products damaged in transit after risk has passed to the Customer (see Section 6.1)
- Products purchased from unauthorised resellers or distributors
8.2 Warranty Claims
To make a warranty claim, contact info@arcguardinc.com within the Warranty Period with: (a) proof of purchase; (b) a description of the alleged defect; (c) photographs of the defect; and (d) the product’s batch or lot number (found on the product label). We will, at our option, repair, replace, or issue a credit for defective products. Returned products require a Return Merchandise Authorization (RMA) number — see Section 10.
8.3 Disclaimer of Implied Warranties
| EXCEPT FOR THE LIMITED WARRANTY SET OUT IN SECTION 8.1, ARC GUARD INC. DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THAT OUR PRODUCTS WILL PREVENT ALL INJURIES OR THAT THEY WILL MEET EVERY SPECIFIC SITE OR APPLICATION REQUIREMENT. |
9. Limitation of Liability and Indemnification
9.1 Limitation of Liability
| TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARC GUARD INC.’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, OUR PRODUCTS, OR OUR WEBSITE — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD $1,000. |
9.2 Exclusion of Consequential Damages
| IN NO EVENT SHALL ARC GUARD INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR DEATH — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. |
9.3 Critical Safety Acknowledgment
YOU EXPRESSLY ACKNOWLEDGE THAT: (A) ARC FLASH PROTECTION PRODUCTS ARE SAFETY-CRITICAL ITEMS WHOSE EFFECTIVENESS DEPENDS ON PROPER SELECTION, FITTING, MAINTENANCE, AND USE; (B) NO PPE PROVIDES ABSOLUTE PROTECTION AGAINST ALL ARC FLASH HAZARDS; AND (C) ARC GUARD INC. CANNOT AND DOES NOT GUARANTEE THAT USE OF OUR PRODUCTS WILL PREVENT INJURY OR DEATH IN ALL CIRCUMSTANCES.
9.4 Indemnification
You agree to indemnify, defend, and hold harmless Arc Guard Inc. and its officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:
- Your breach of these Terms or any applicable law or regulation
- Your improper selection, use, installation, maintenance, or storage of our products
- Failure to ensure that end-users are appropriately trained and qualified
- Use of our products in an application or at a hazard level for which they are not rated
- Any modification, alteration, or repair of our products not authorised by Arc Guard Inc.
- Any third-party claims arising from your use of our products
10. Returns, Refunds, and Cancellations
10.1 Return Eligibility

10.2 Return Merchandise Authorization (RMA)
All returns require a Return Merchandise Authorization (RMA) number issued by Arc Guard Inc. prior to shipment. To request an RMA, email info@arcguardinc.com with your order number, the item(s) to be returned, and the reason for return. Products returned without an RMA number will be refused and returned to sender at the Customer’s expense.
10.3 Return Shipping
Unless the return is due to a confirmed manufacturing defect or our error, return shipping costs are the Customer’s responsibility. We recommend using a trackable, insured shipping method. Arc Guard Inc. is not responsible for products lost or damaged in return transit.
10.4 Cancellations
Orders may be cancelled without charge within 24 hours of Order Confirmation, provided shipment has not yet occurred. Orders cancelled after 24 hours but before shipment are subject to a 10% cancellation fee. Orders already shipped cannot be cancelled but may be returned per Section 10.1 above.
11. Intellectual Property
11.1 Our Intellectual Property
All content on ArcGuardInc.com — including but not limited to text, product descriptions, specifications, photographs, graphics, logos, icons, videos, downloadable materials (guides, checklists, white papers), software, database compilations, and the overall design and “look and feel” of the Website — is the exclusive property of Arc Guard Inc. or our content licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.
11.2 Limited License to Use Website
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our Website and its content solely for the purpose of evaluating, purchasing, and using our products in the normal course of your business operations. This licence does not include the right to:
- Copy, reproduce, distribute, or publicly display any Website content without our prior written consent
- Scrape, crawl, or use automated tools to extract data from our Website
- Use our content for commercial purposes other than purchasing our products
- Reverse-engineer, disassemble, or decompile any software on our Website
- Remove or alter any copyright, trademark, or proprietary notices
11.3 Trademarks
“Arc Guard,” the Arc Guard Inc. logo, and any product names or slogans displayed on our Website are trademarks or registered trademarks of Arc Guard Inc. All third-party trademarks, product names, and company names or logos referenced on our Website are the property of their respective owners and are used for identification purposes only.
11.4 Customer Content
If you submit testimonials, reviews, feedback, photographs, or other content to us, you grant Arc Guard Inc. a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, modify, publish, and display that content for marketing, training, and business purposes, including on our Website and in promotional materials. You represent that you have all rights necessary to grant this licence.
12. Website Use and Acceptable Use Policy
12.1 General Access
We reserve the right to modify, suspend, or discontinue the Website (or any part thereof) at any time without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
12.2 Prohibited Conduct
You agree not to use our Website to:
- Violate any applicable federal, state, local, or international law or regulation
- Transmit any unsolicited or unauthorised advertising, spam, or promotional material
- Introduce viruses, Trojan horses, worms, logic bombs, or other malicious code

Our products and technical data may be subject to US export control laws and regulations, including the Export Administration Regulations (EAR) administered by the US Department of Commerce Bureau of Industry and Security (BIS), and the International Traffic in Arms Regulations (ITAR) administered by the US Department of State.
By purchasing our products, you represent and warrant that:
- You are not located in, or purchasing on behalf of any person or entity located in, any country subject to US economic sanctions or embargoes (including but not limited to Iran, North Korea, Cuba, Syria, and the Crimea region of Ukraine)
- You are not listed on, nor purchasing on behalf of any person or entity listed on, any US government restricted party lists, including the BIS Entity List, the OFAC SDN List, or the US State Department Debarred Parties List
- You will not re-export, re-transfer, or divert our products or technical data to any prohibited destination, end-user, or end-use
- You will obtain all required export licences or authorisations prior to any re-export of our products
Arc Guard Inc. reserves the right to refuse or cancel any order that it believes, in its sole discretion, may violate applicable export control laws. Violation of this section may result in immediate termination of your account and reporting to relevant government authorities.
14. Privacy and Data Protection
Your use of our Website and any personal data you provide is governed by our Privacy Policy, available at ArcGuardInc.com/privacy-policy, which is incorporated into these Terms by reference. By using our Website and providing your personal data, you consent to the collection and use of your information as described in our Privacy Policy.
Where you provide personal data of other individuals (such as employees at your company who will use our products), you represent that you have obtained all necessary consents and have the right to share such data with us.
15. Third-Party Links and Services
Our Website may contain links to third-party websites, resources, or services — including regulatory bodies (OSHA.gov, NFPA.org), industry associations, carrier tracking portals, payment processors, and partner companies. These links are provided for convenience only. Arc Guard Inc. does not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party websites. Your use of third-party sites is at your own risk and subject to those sites’ own terms and conditions.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact Arc Guard Inc. at info@arcguardinc.com and provide written notice describing the nature of the dispute and the relief sought. We will attempt to resolve the dispute informally within 30 days of receiving written notice. This informal resolution process is a condition precedent to initiating arbitration or litigation.
16.2 Binding Arbitration
If the dispute cannot be resolved informally within 30 days, all disputes, claims, or controversies arising out of or relating to these Terms, our products, or the Website — including any question of whether a dispute is subject to arbitration — shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, as amended from time to time.

16.3 Class Action Waiver
YOU AND ARC GUARD INC. EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek: (a) emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration; or (b) relief in small claims court for disputes within that court’s jurisdictional limits.
17. Governing Law and Jurisdiction
These Terms and any disputes arising out of or related to them or our products shall be governed by and construed in accordance with the laws of the State of Louisiana, United States of America, without regard to its conflict of law provisions.
To the extent that any dispute is not subject to arbitration under Section 16, you consent to the exclusive jurisdiction of the federal and state courts located in Louisiana for the resolution of such disputes, and you waive any objection to venue or personal jurisdiction in such courts.
If you are accessing our Website from outside the United States, you do so at your own initiative and are responsible for compliance with all applicable local laws. These Terms do not restrict Arc Guard Inc. from seeking injunctive or other emergency relief in any jurisdiction.
18. Force Majeure
Arc Guard Inc. shall not be liable for any failure or delay in the performance of our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, or severe weather events
- Pandemics, epidemics, or public health emergencies
- War, terrorism, civil unrest, or government actions or embargoes
- Labour strikes, lockouts, or other industrial disputes (whether involving our workforce or that of a third party)
- Supply chain disruptions, raw material shortages, or manufacturing failures
- Cyberattacks, hacking, or widespread internet or telecommunications failures
- Transportation disruptions, port closures, or carrier failures
In the event of a Force Majeure event, we will notify you as soon as reasonably practicable, provide an estimated timeline for resumption of performance, and work in good faith to mitigate the impact. If a Force Majeure event continues for more than 60 consecutive days, either party may cancel affected orders with a full refund of any amounts paid for unshipped goods, with no further liability to the other party.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any Order Confirmation or written agreement signed by both parties, constitute the entire agreement between you and Arc Guard Inc. with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, representations, and agreements, whether written or oral.
19.2 Severability
If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
19.3 Waiver
No failure or delay by Arc Guard Inc. in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No waiver shall be effective unless made in writing and signed by an authorised representative of Arc Guard Inc.
19.4 Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Arc Guard Inc. may freely assign these Terms, including in connection with a merger, acquisition, or sale of substantially all of our assets, upon written notice to you.
19.5 Notices
All legal notices to Arc Guard Inc. must be sent in writing to info@arcguardinc.com (with confirmation of receipt requested) or by certified mail to our registered business address. We may send notices to you at the email address associated with your account or order. Notices are deemed effective upon confirmed receipt.
19.6 Relationship of Parties
Nothing in these Terms shall create, or be construed to create, a partnership, joint venture, agency, employment, or franchise relationship between Arc Guard Inc. and you. You are an independent customer, not an agent or employee of Arc Guard Inc.
19.7 Headings
Section headings in these Terms are for convenience only and have no legal or contractual effect.
19.8 Language
These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
